Following the private agreement established on December 22, 2000 between DEGRIF SRL, VAT No. BE0473.561.225, whose registered office is located at 49 rue Simonis, 1050 Brussels, Belgium, and INTERCONNECTION SA, VAT No. BE0473.561.522, whose registered office is located at 106 rue du Prévôt, 1050 Brussels, Belgium, the following is agreed:

INTERCONNECTION SA, as part of its purchasing center activities, agrees to deposit various items of shoes, leather goods, and other goods on consignment with DEGRIF SRL.

DEGRIF SRL undertakes to offer these items for retail sale in the course of its business activities.

All items consigned by INTERCONNECTION SA to DEGRIF SRL remain the exclusive property of INTERCONNECTION SA until they are sold by DEGRIF SRL.

The goods sold by DEGRIF SRL are invoiced to the end customer by DEGRIF SRL. Goods acquired by INTERCONNECTION SA and sold by DEGRIF SRL are subject to monthly invoicing between the two companies, as stipulated in the private agreement established on December 22, 2000, between the parties.
